Effective Date: April 2025
This Affiliate Agreement (“Agreement”) governs the relationship between OVMPS Limited (“OVMPS”, “we”, “us”) and registered Affiliate Marketers (“Affiliate”, “you”).
By registering as an Affiliate on OVMPS, you confirm that you have read, understood, and agreed to the terms below.
1. Affiliate Role & Scope
Affiliates act as independent marketing partners responsible for:
- Introducing vendors to the OVMPS platform.
- Supporting vendor onboarding and basic platform understanding where necessary.
- Promoting OVMPS ethically and professionally.
Affiliates are not employees of OVMPS.
2. Vendor Onboarding & Assistance
Affiliates may:
- Assist vendors with registration and onboarding only when requested or officially assigned.
- Provide basic guidance on store setup and product listing.
Affiliates must not:
- Collect cash or electronic payments from vendors.
- Misrepresent pricing, features, or guarantees.
All subscriptions and payments must be completed directly on OVMPS official systems.
3. Commission & Earnings Structure
A. Sales Commission
- Affiliates earn 0.5% commission on all completed and successful sales made by vendors who registered using their affiliate link.
- Commissions apply only to completed orders (not refunded or returned).
Note:
OVMPS operates a 5-day return/refund window.
Earnings are confirmed only after this period closes.
B. Vendor Onboarding Bonuses
Affiliates earn one-time bonuses for each successfully onboarded and verified vendor:
- ₦15,000 for every Standard Vendor
(Standard Vendor subscription: ₦180,000 per year) - ₦25,000 for every Premium Vendor
(Premium Vendor subscription: ₦580,000 per year)
Bonuses are paid only after:
- Vendor subscription payment is completed.
- Store verification is approved by OVMPS.
C. Payment Schedule
- Affiliate earnings are calculated monthly.
- Payments cover only completed and cleared transactions.
- Payments are made to the affiliate’s registered bank account.
OVMPS reserves the right to:
- Withhold payments linked to fraud, disputes, or policy violations.
- Adjust payouts where errors or reversals occur.
4. Professional Conduct
Affiliates must:
- Act with integrity, respect, and professionalism.
- Carry valid OVMPS identification (digital or physical) during vendor engagements.
- Accurately communicate OVMPS policies and updates.
5. Compliance & Ethics
Affiliates must not:
- Accept personal payments from vendors.
- Promise guaranteed sales or earnings.
- Engage in misleading, aggressive, or unethical marketing practices.
All activities must comply with:
- OVMPS Terms of Service
- Privacy Policy
- Ethical standards
6. Confidentiality & Data Protection
- Affiliates must protect all vendor and customer information.
- Unauthorized data use or disclosure will result in immediate termination and possible legal action.
7. Violations & Enforcement
OVMPS may take disciplinary action for violations, including:
- Suspension or termination of affiliate account.
- Forfeiture of unpaid commissions.
- Legal or financial liability where applicable.
OVMPS reserves the right to audit affiliate activities at any time.
8. Governing Law
This Agreement is governed by the laws of the Federal Republic of Nigeria.
Disputes shall be resolved amicably or through competent Nigerian courts.
