Vendor Agreement

Effective Date: April 2025

This Vendor Agreement (“Agreement”) is entered into between OVMPS (“we,” “our,” or “the Platform”) and you (“Vendor,” “you,” or “your”) upon registration as a vendor on our multivendor eCommerce platform — OVMPS.com.

By signing up or listing products/services on OVMPS, you acknowledge that you have read, understood, and agreed to the terms outlined below.


1. Eligibility

To qualify as a vendor on OVMPS:

  • You must be at least 18 years old and legally capable of entering into binding agreements.
  • You must provide accurate and verifiable business, banking, and contact information during registration.
  • You agree to comply with all applicable laws and regulations of the Federal Republic of Nigeria, as well as OVMPS platform policies, listing rules, and ethical standards.
  • Vendors found providing false information or operating in violation of Nigerian law will face immediate suspension or permanent removal from the platform.

2. Product Listings

  • As a vendor, you are fully responsible for all listings created under your account.
  • You must ensure that all products or services offered are:
    • Legal, authentic, and safe for consumers.
    • Accurately described, including correct titles, images, specifications, and pricing.
  • The sale of counterfeit, stolen, restricted, or unsafe items is strictly prohibited.
  • OVMPS reserves the right to review, edit, or remove any listing that violates these terms or fails to meet quality standards.
  • Misleading or deceptive listings may lead to account penalties, suspension, or legal action.

3. Payments and Commission

  1. Payment Collection
    All customer payments are collected securely by Paystack on behalf of the vendor. OVMPS Escrow determines when Paystack should release the funds based on order completion or the auto-release schedule.
  2. Vendor Payouts
    • Non-returnable Orders: Payouts are triggered immediately after order has been marked complete and typically settle in 1–2 business days depending on the time the payout is initiated by Paystack.Returnable Items: Payouts are triggered when the customer confirms delivery, usually within 3–14 business days.
    Important:
    • Payouts initiated before 5:00 PM (local Nigerian time) usually settle on the next business day (T+1). Payouts initiated after 5:00 PM may settle in two business days (T+2).
    • Paystack does not settle on weekends or public holidays; payouts resume on the next business day.
    • All money remains in Paystack at all times — OVMPS never directly handles vendor funds.
    • Transactions may appear in Paystack’s Transactions page before appearing in your Available Balance; this is normal during settlement processing.
  3. Commission Rates
    OVMPS charges a commission on sales depending on your subscription plan:
    • Basic Plan (BP): 10%
    • Standard Plan (SP): 7%
    • Premium Plan (PP): 4.5%
    Commission rates may be adjusted in the future as business evolves; vendors will be notified in advance of any changes.
  4. Security and Banking Details
    All payments are processed through secure, authorized gateways. Vendors must ensure that their banking details are accurate and up to date to avoid payout delays.

4. Subscription and Renewal

  • Vendors become members of OVMPS by subscribing to any available business plan (monthly or annually).
  • Subscription grants access to platform tools, vendor dashboard, promotional features, and customer support.
  • Upon expiration, your subscription will automatically renew if you have enabled auto-renewal via our secure payment gateway.
  • You may cancel or change your plan at any time before the next billing cycle.
  • Failure to renew a plan may result in the temporary suspension or downgrade of membership plan removing vendor privileges.

5. Refunds and Returns

  • Vendors must strictly adhere to OVMPS’s Return & Refund Policy.
  • You are required to process valid return or refund requests promptly and cooperate with OVMPS in resolving any disputes.
  • Vendors found rejecting legitimate return claims or delaying refunds may face account penalties or withheld payouts.
  • Refunds are to be handled fairly and transparently, ensuring customer satisfaction and trust in the marketplace.
  • Vendor shall pay the return delivery fee when the return is caused by vendor error, including wrong item, incomplete package, fake item, or incorrect description.

6. Shipping and Delivery

  • Vendors are responsible for timely and accurate order fulfillment, unless the order is handled by OVMPS Fulfillment Services.
  • All items must be properly packaged and shipped using approved logistics partners.
  • Delays, cancellations, or delivery failures attributable to vendor negligence may lead to order cancellation, penalties, or temporary suspension.
  • Vendors should always provide customers with tracking information where applicable.

7. Intellectual Property Rights

  • Vendors retain full ownership of their product content, images, and trademarks.
  • By uploading or listing content on OVMPS, you grant OVMPS a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and promote your listings across our platform and marketing materials.
  • You agree not to upload, use, or sell any content that infringes upon third-party copyrights, trademarks, or intellectual property rights.
  • OVMPS reserves the right to remove or report any infringing material and to cooperate with authorities or rights owners as necessary.

8. Termination or Suspension

  • OVMPS reserves the right to suspend, restrict, or terminate any vendor account found violating our policies, engaging in fraudulent activity, or damaging the platform’s reputation.
  • Termination may occur without prior notice in severe cases.
  • Vendors may voluntarily close their accounts at any time by submitting a written request or using their dashboard options.
  • Upon termination, outstanding payouts (if any) will be processed in accordance with this Agreement, subject to deduction of unsettled obligations.

9. Liability Disclaimer

  • Vendors are solely responsible for the quality, safety, and legality of the products or services they list.
  • OVMPS acts only as a marketplace facilitator and shall not be held liable for:
    • Product defects, damages, or non-performance.
    • Customer disputes arising from vendor negligence or misrepresentation.
    • Financial losses or claims resulting from vendor activities.
  • Vendors agree to indemnify and hold harmless OVMPS, its staff, and affiliates from any claims, losses, or damages resulting from their actions or listings.

10. Vendor Management & Conduct

  • Vendors must maintain professional communication and respectful conduct when dealing with OVMPS staff, vendor managers, or customers.
  • Vendors are required to cooperate fully with OVMPS’s vendor management personnel during verification, audits, or assistance.
  • Abusive, threatening, or hostile behavior toward OVMPS personnel may result in immediate account suspension.
  • Vendors are expected to uphold a spirit of partnership, trust, and integrity while conducting business on the platform.
  • On no account shall vendor make direct payments to Vendor Management Personnel(s) or Affiliates or Partners of any kind. All payments must be made securely through our platform only. See Vendor & VMP Compliance and Vendor & OVMPS Affiliate Policies for more info.

11. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria and any related commercial or eCommerce laws.

In case of any dispute, both parties agree to first attempt an amicable resolution before seeking remedy through a competent court of jurisdiction within Nigeria.


12. Acceptance of Agreement

By completing vendor registration and using the OVMPS platform, you acknowledge that you have read, understood, and agreed to this Vendor Agreement and all other OVMPS policies, including the Terms of Service, Return & Refund Policy, and Privacy Policy.
